Operation Basis

Framework Plan for the China (Shanghai) Pilot Free Trade Zone, Measures for Administration of the China (Shanghai) Pilot Free Trade Zone, and Measures for Administration of the Filing of Foreign-Invested Enterprises in the China (Shanghai) Pilot Free Trade Zone

Scope of Application

If a foreign-invested enterprise incorporated by the investor in the FTZ after October 1, 2013, has any of the following circumstances, it shall go through the change filing procedures through the acceptance platform:

Change (increase or decrease) of registered capital);
Transfer of equity or cooperative interests;
Equity pledge;
Merger or division;
Change of operating term;
Early termination;
Change of contribution mode or time limit; and
In case of Sino-Foreign joint cooperative enterprise, early divestment by the foreign party.
If it is required by relevant laws and regulations to make announcement, announcement procedures shall be gone through according to law.

In case of any change to a foreign-invested enterprise incorporated in the FTZ or the move-in of a foreign-invested enterprise outside the FTZ prior to October 1, 2013, if such enterprise is in the scope of filing (not listed in the Special Administrative Measures for the Access of Foreign Investment in the China (Shanghai) Pilot Free Trade Zone (Negative List)), it shall go through the change filing procedures through the acceptance platform and hand in the approval certificate to the Filing Agency for cancellation.

Application Process

The enterprise or applicant shall log in “FTZ Investment Application Express” on “China Shanghai” portal website, or the portal website of the China (Shanghai) Pilot Free Trade Zone, to view relevant application guidelines and prepare materials as required. The enterprise or applicant shall log in “FTZ Investment Application Express” on “China Shanghai” portal website to make online application, and in addition shall within 5 days submit necessary paper materials to the investment management service window of the general service hall of the FTZ.
