II. Scope of Application

Registration of change of pledge in the form of equities of the foreign invested companies

III. Required Materials

Application for Registration of Change of Pledge of Equities (original) signed or stamped by the applicant
Certificate of the designated representative or jointly entrusted agent (original)
Reply for change of pledge of equities as agreed upon by the examination and approval authority (original)
Certificate of change of relevant registration items (original)

In case of change of the pledged equities, it is required to submit the amendment to the pledge contract or its supplementary contract; in case of change of the pledger and its name or the name of the company to which the pledged equities belong, it is required to submit the certificate of the name and the certificate of the principal qualifications after change or the photocopy of the identify certificate of the natural person

Photocopy of the duplicate of the Business License of the company which the equities belong to (affixing the seal of the company)
Other materials to be submitted as required by SAIC

IV. Application Process

    The investors shall visit the official website of Shanghai Industrial and Commercial Administration, i.e. www.sgs.gov.cn or the “Investment and Handling Express in Pilot Area” at the portal website of “Shanghai - China”, and prepare relevant materials according to the applicable requirements, and submit the paper materials to the Investment Management Window of the Comprehensive Service Hall in the pilot area for the purpose of handling the change formalities. If materials are complete and in conformity with the legal form, after completion of handling, replace the Business License at the designated window.
