I. Operation Basis

Measures for Administration of Organizational Code, Measures of Shanghai for Registration of Administration of Organizational Code, and Detailed Rules for Implementation of Verification and Use of Organizational Code in Shanghai

II. Scope of Application

The following organizations located in the China (Shanghai) Free Trade Pilot Zone:

State organs and institutions established, as approved by the organization preparation management authority
Enterprises as approved and registered by the corporate registration management authority
Social organizations as approved and registered by the social organization registration management authority
Central and foreign provincial organizations in Shanghai as approved and registered by the cooperative management authority
Foreign or overseas nongovernmental organizations in Shanghai as approved and registered by foreign affairs authority or other relevant competent authority

III. Required Materials

1. Application for Organizational Code in Shanghai (for non-confidential units) (original), affixing the official seal (that may be stamped upon receiving the documents, when handling the One-off procedures)

2. Certificate of handling registration for the handling person as authorized by the organization (original)

3. Other materials

(1) Enterprises

①Business License(original and photocopy);

Ø   If it is handled through the “One-off Acceptance” procedures, it is not required to submit it.

②ID Card of the Legal Representative (person in charge)(for persons from Hong Kong and Macao, it is the Hong Kong and Macao Permit; for persons from Taiwan, it is the Taiwan Permit; and for foreigners, it is the passport)(photocopy)

③ ID Card of the handling person (photocopy)

④ For foreign invested companies and(noncorporate) foreign invested enterprises, it is required to carry the approval certificate or filing document of the foreign invested enterprises or Hong Kong, Macao and Taiwan Invested enterprises(original and photocopy)

(2) Representative offices of foreign investors in Shanghai

① Industrial and commercial registration certificate (original and photocopy)

(8) Private noncorporate enterprises

① Duplicate of the registration certificate of the private noncorporate enterprise (original and photocopy)

②ID Card of the Legal Representative (person in charge)(photocopy)

(9) Irregular employment labor organizations

① Duplicate of the certificate of the irregular employment labor organization (original and photocopy)

② ID Card of the person in charge (photocopy)

③ If there is a labor manual of the person in charge, it is required to carry such labor manual (original and photocopy)

④ ID card of the handling person(photocopy)

(10) For other organizations, it is required to submit the original and photocopy of the documents relating to legal establishment

Note: * the photocopy shall be consistent with the original, and shall be complete, clear and free of errors

* For the new version of ID card, the front and reverse sides shall be copied.

*  For the branch, please carry the photocopy of the Organizational Code Certificate of the competent authority at a higher level

IV. Application Process

(I) “One-off” acceptance process

① Foreign invested companies and (noncorporate) foreign invested enterprises: after handling the pre-approval of corporate name at the industry and commerce administration, the foreign investors shall log into the “Investment and Handling Express in Pilot Area” at the portal website of “Shanghai - China” or the portal website of the “China (Shanghai) Free Trade Pilot Zone”, and compare the planned investment situations and the special management measures for the foreign investment access in the pilot area (negative list). If it is needed to establish a foreign invested enterprise outside the negative list of the pilot area, it is required to handle the filing formalities; if it is needed to establish a foreign invested enterprise in the negative list of the pilot area, it is required to handle the examination and approval formalities. After completing relevant forms online, the investors shall download, print and sign on such forms. The applicant shall, within the specified time limit, submit paper materials to the investment management service window of the general service hall of the FTZ to go through the “one-off” acceptance procedures, as required. If materials are complete and in conformity with the legal form, after completion of handling, receive the license at the designated window.

② Foreign invested partnership enterprise, foreign invested branches and the branches of foreign invested partnership enterprises: after handling the pre-approval of corporate name at the industry and commerce administration, the foreign investors shall log into the “Investment and Handling Express in Pilot Area” at the portal website of “Shanghai - China” or the portal website of the “China (Shanghai) Free Trade Pilot Zone”, and complete relevant forms online, and the investors shall download, print and sign on such forms. The applicant shall, within the specified time limit, submit paper materials to the investment management service window of the general service hall of the FTZ to go through the “one-off” acceptance procedures, as required. If materials are complete and in conformity with the legal form, after completion of handling, receive the license at the designated window.

③ Domestic enterprises: after handling the pre-approval of corporate name at the industry and commerce administration, the investors shall log into the “Investment and Handling Express in Pilot Area” at the portal website of “Shanghai - China” or the portal website of “China (Shanghai) Free Trade Pilot Zone”, and prepare relevant materials according to the applicable requirements, and submit the paper documents to the investment management window in the Comprehensive Service Hall in the Pilot Zone for the purpose of handling the “one-off” formalities. If materials are complete and in conformity with the legal form, after completion of handling, receive the license at the designated window.

(II) General process

After obtaining valid licenses, the organizations shall log into the official website of Shanghai Municipal Bureau of Quality and Technical Supervision, i.e.  to consult relevant guidance.  Prepare relevant materials according to the applicable requirements, and submit the paper documents to the investment management window in the Comprehensive Service Hall in the Pilot Zone for the purpose of handling the “one-off” formalities. If materials are complete and in conformity with the legal form, after completion of handling, receive the Organizational Code Certificate at the designated window.

V. Charging Standards and References

Subject to the provisions of HCY [2003] No. 48, HJF[2003] No. 37 and HCY [2011] No. 11:

(1) Labor cost of the original of the Code Certificate: RMB10; and the labor cost of the duplicate of the Code Certificate: RMB8;

(2)Technical Service Fees: RMB82;

(3) Labor cost of Code Certificate IC Card: RMB20.
